VEDRA Pensions GmbH → Hypo Real Estate Holding GmbH

Buyout Germany Reinsurance (NEC) Government / Public Sector
Deal summary

Information on the target

VEDRA Pensions GmbH ("VEDRA") has successfully acquired the German pension liabilities of Hypo Real Estate Holding GmbH ("HRE Holding") through a Pension Buy-out. HRE Holding, a former banking holding company based in Munich, has been under the ownership of the Federal Financial Market Stabilization Fund (FMS) since 2009. The primary objective of HRE Holding is to wind down all remaining business and customer relationships. In this context, a systematic selection process was conducted to find a long-term and sustainable solution for the occupational pension scheme of the pension recipients. VEDRA emerged as the preferred partner in this selection process and, in October 2025, took over a newly established pensioner company to which the pension liabilities were transferred from HRE Holding.

Along with the pension liabilities, the corresponding pension coverage assets were also transferred, including a series of reinsurance contracts that HRE Holding had previously established to secure pension claims. As a result, VEDRA will now assume all risks and payment obligations associated with the pension claims, which will be managed within the VEDRA group and secured by an external dual trust (CTA), consisting of administrative and security trustees. This structure ensures the dedicated use of the trust assets, with capital investments being made through a specialized German fund. VEDRA will once again invest a capital contribution that is typical by international standards into the pensioner company, ensuring alignment of interests.
