Deal summary

Information on the target

Eni and Snam have entered into an agreement for the sale of 49.9% of Eni's stakes in the companies managing two international gas pipeline groups connecting Algeria to Italy. This includes the onshore gas pipeline extending from the Algeria-Tunisia border to the Tunisian coast (known as the TTPC pipeline) and the offshore pipelines linking the Tunisian coast to Italy (referred to as the TMPC pipeline). The transaction involves the transfer of these stakes into a newly established Italian company (NewCo), where Eni will retain a 50.1% ownership, while the remaining 49.9% will be sold to Snam for €385 million.

Snam will finance the payment through its own resources. Industry overview in the target’s specific country

The natural gas industry in Italy plays a crucial role in the country’s energy landscape, serving as a primary source of energy for both residential and industrial sectors. Italy's geographical position makes it a key hub for gas imports from North Africa and other regions, facilitating energy security and diversification of supply routes. The country has been increasingly focusing on transitioning to cleaner energy sources, with natural gas being seen as a bridge fuel in this transition.

In recent years, Italy has made significant investments in its gas infrastructure, including pipelines and storage facilities, to enhance its capacity to import and distribute natural gas. The government has also been supportive of initiatives aimed at increasing the use of renewable energy and reducing carbon emissions, aligning with broader European Union goals for energy sustainability.

Moreover, the potential development of hydrogen as a clean energy source is gaining traction in Italy, with North Africa identified as a strategic area for future hydrogen production. This aligns with Italy's commitment to reduce its carbon footprint and transition towards a more sustainable energy system. The collaboration between Eni and Snam is expected to bolster Italy's position in the evolving energy market, particularly in the context of hydrogen development.
