Deal summary

Information on the target

Olam International Limited (“Olam”), a prominent global integrated supply chain manager and processor of agricultural products and food ingredients, has successfully acquired a 100% equity interest in Northern Coffee Corporation Ltd (“NCCL”). This acquisition, valued at approximately US$6.15 million, was executed through a competitive bidding process organized by the Zambia Development Authority (“ZDA”). In addition to the purchase price, Olam plans to invest a further US$40 million in capital and pre-operative expenditures to fully develop a 2,000-hectare Arabica coffee plantation over the next five years. The estate is projected to yield around 4,500 metric tonnes of Arabica coffee beans by FY2021 at steady-state, with the initial 300 hectares slated for planting in FY2013.

NCCL was established in March 2011, taking over the assets of the Kasama Coffee Company, which had been in receivership since 2008. Prior to the acquisition, ZDA and the indebted banks were shareholders of NCCL. The company’s assets encompass five estates spanning 5,866 hectares in the Northern Province of Zambia, with approximately 1,580 hectares previously cultivated for coffee production. These assets include essential infrastructure such as dry and wet processing facilities, warehouses, irrigation systems, employee housing, a recreational center, and a research facility.

Industry overview in the target’s specific country

The coffee industry in Zambia has been gaining traction, with the country emerging as a notable player in the global coffee market. The favorable climatic conditions, including suitable soil fertility, altitude, and adequate rainfall, contribute to the production of high-quality coffee beans. Zambia's coffee sector is characterized by a growing interest in specialty coffee, which is increasingly recognized for its unique flavor profiles and quality. This trend aligns with the global demand for premium coffee, providing an opportunity for local producers to tap into international markets.

Historically, Zambia's coffee production has faced challenges, including limited investment and infrastructure. However, recent efforts by both government and private entities to revitalize the sector have led to increased investment in coffee plantations and processing facilities. The Zambian government, through the Zambia Development Authority, has been proactive in facilitating investments to enhance the agricultural landscape, particularly in coffee cultivation.

As the global coffee market continues to evolve, Zambia's strategic positioning offers a competitive advantage. The country's production costs are comparable to other emerging coffee-producing nations such as Laos, Ethiopia, and Tanzania. This cost-effectiveness, combined with the potential for quality differentiation, positions Zambia as an attractive origin for coffee, appealing to international buyers seeking high-quality beans.

Furthermore, the increasing focus on sustainable and ethical sourcing practices in the coffee industry aligns with Olam's commitment to responsible land management and environmental steward…
