ITC Infotech has entered into an agreement to acquire a 22.106% stake in Happiest Minds Technologies from its promoter group, which includes founder Ashok Soota and Ashok Soota Medical Research LLP. This acquisition represents a significant shift in the ownership structure of the Bengaluru-based IT services firm. The transaction involves the purchase of 3,36,61,700 equity shares of Happiest Minds, with the first tranche comprising 1,67,50,000 shares (11% of the company) priced at ₹390 per share, totaling ₹653.25 crore. The second tranche includes 1,69,11,700 shares (11.106%) at ₹400 per share, amounting to ₹676.47 crore, bringing the total consideration to approximately ₹1,330 crore.
Following the acquisition, Happiest Minds will be amalgamated into ITC Infotech, pending necessary statutory, shareholder, and regulatory approvals. The proposed share-swap arrangement will allow shareholders of Happiest Minds, excluding ITC Infotech, to receive 25 fully paid-up ITC Infotech shares for every 81 Happiest Minds shares they hold. Upon completion of the merger, ITC Infotech's shares are expected to be listed on the BSE and NSE, with the transaction anticipated to finalize within the next 15 months.
