Information on the target
Getty Images, a leading global operator in the production and distribution of visual content, has reached an agreement with key creditors and shareholders for a comprehensive restructuring of its financial structure. This restructuring will facilitate the company's return to private ownership. The Getty family and Koch Equity Development (KED) have committed to invest up to $533 million in new equity, while financial creditors have agreed to a reduction of unsecured debt, lower financial burdens, and extended maturities on secured debt. The operation will be executed through a prepackaged Chapter 11 process and is expected to be completed by the end of the year.
Upon completion of the restructuring, investors associated with the Getty family and KED will hold 100% of the capital of the reorganized company, which will exit the public market. Getty Images had already been on a path toward delisting from the New York Stock Exchange due to an "abnormally low" stock price, with trading transitioning to the OTC Pink Limited Market. The company is being advised in the restructuring by Simpson Thacher & Bartlett and Cole Schotz as legal advisors, Guggenheim Securities as the investment banker, Alvarez & Marsal as the financial advisor, and Kekst CNC for strategic communications.
