Hellenic Telecommunications Organization S.A. (OTE) has finalized binding agreements for the divestiture of its entire 100% stake in Telekom Romania Mobile Communications (TKRM) to Vodafone Romania S.A. (Vodafone) while also transferring some assets to Digi Romania S.A. (Digi). Following the approval from the Romanian Competition Commission in July 2025, this transaction represents a significant restructuring in the Romanian telecommunications landscape.
Under the agreement, Digi will acquire TKRM's prepaid business, certain spectrum rights, and a portion of the tower portfolio, while OTE will retain a minor stake in the company. The transaction holds a combined enterprise value of €70 million, which is subject to customary adjustments, including net debt and working capital considerations at the time of completion.
