Foresight Group Holdings Limited has successfully acquired 100% of the issued share capital of Infrastructure Capital, an announcement that follows the completion of necessary regulatory processes with the Foreign Investment Review Board in Australia. The acquisition, which was initially revealed on 12 July 2022, has been finalized with a total upfront consideration of A$105 million.
This financial commitment is composed of A$52.5 million paid in cash alongside 7,937,879 new ordinary shares of Foresight issued to Infrastructure Capital's shareholders, equaling another A$52.5 million in value. The share price for consideration was pegged at approximately 376p based on a 30-day volume weighted average as of 11 July 2022. The newly issued shares come with specific forfeiture conditions for sellers who cease to be involved with Infrastructure Capital over the next three years.
